1. Acceptance of Terms
By downloading, installing, accessing, or using the MicGuard mobile application (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and AE Solutions LLC ("Company," "we," "our," or "us").
If you do not agree to these Terms, you must not download, install, or use the App. Your continued use constitutes ongoing acceptance.
These Terms should be read in conjunction with our Privacy Policy.
2. Eligibility
To use the App, you must:
- Be at least 13 years of age (or the minimum age of digital consent in your jurisdiction)
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the App under any applicable law
3. Description of Service
MicGuard provides the following services, all processed locally on your device:
The App does not record, stream, or transmit audio content.
4. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable, personal license to download, install, and use the App on a device that you own or control, for personal, non-commercial purposes.
This license does not include any right to sublicense, sell, distribute, or commercially exploit the App.
5. Intellectual Property
The App — including its source code, design, architecture, UI, graphics, animations, text, and documentation — is the exclusive property of AE Solutions LLC. All rights not expressly granted are reserved.
"MicGuard," the MicGuard logo, and all related branding are our trademarks. You may not use them without prior written consent.
If you provide suggestions or feedback, you grant us an unrestricted, irrevocable, royalty-free license to use and incorporate such feedback.
6. Prohibited Conduct
- Reverse engineer, decompile, or attempt to derive the source code of the App
- Modify, adapt, or create derivative works based on the App
- Copy, distribute, rent, lease, sublicense, or transfer the App
- Remove or alter any proprietary rights notices
- Use the App for any unlawful purpose
- Use the App to monitor or record others' communications without their consent
- Interfere with the integrity or performance of the App
- Attempt unauthorized access to systems associated with the App
- Circumvent or bypass any security measures or technical limitations
7. MicBlock — Special Terms
By using the MicBlock feature, you acknowledge:
- Best-effort only — cannot guarantee blocking under all circumstances
- May interfere with phone calls, voice assistants, navigation, and emergency services
- You are solely responsible for enabling/disabling MicBlock at appropriate times
- Override detection — if unmuted by the system, the App will attempt to re-mute with backoff
The Company shall not be liable for missed calls, failed voice commands, emergency call interference, or other consequences arising from MicBlock usage.
8. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that it will detect all microphone access events.
Detection accuracy depends on Android system APIs and varies by device manufacturer, Android version, and system configuration.
9. Limitation of Liability
To the maximum extent permitted by law, AE Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, privacy, or other intangible losses, arising from:
- Undetected microphone access or inaccurate attribution
- Failure of MicBlock to prevent microphone access
- Unauthorized access to locally stored data due to device compromise
- Service interruptions, bugs, or errors
- Reliance on the App as your sole security measure
Our total liability shall not exceed $10.00 USD or the amount you paid for the App in the preceding 12 months, whichever is greater.
10. Indemnification
You agree to defend, indemnify, and hold harmless AE Solutions LLC from all claims, damages, losses, and expenses (including attorney fees) arising from your misuse of the App, violation of these Terms, violation of any law, or use of MicBlock that interferes with lawful communications.
11. Termination
By you: Uninstall the App at any time. All local data is automatically deleted.
By us: We may terminate your access without notice if you breach these Terms, if your use poses a risk, or if we discontinue the App.
Sections on IP, Disclaimers, Liability, Indemnification, Governing Law, and Disputes survive termination.
12. Updates & Modifications
We may release updates that add, modify, or remove features. Continued use after an update constitutes acceptance. We are under no obligation to provide updates, maintenance, or support.
We may modify these Terms at any time. Material changes will be communicated via the App or update notes. If you disagree, your remedy is to uninstall the App.
13. Governing Law
These Terms are governed by the laws of the United States, without regard to conflict of law principles. For EEA users, your mandatory consumer protection rights under local law are unaffected.
14. Dispute Resolution
Step 1 — Informal Resolution: Contact us at aesolutionsllc01@gmail.com and attempt to resolve the dispute for at least 30 days.
Step 2 — Binding Arbitration: If unresolved, disputes shall be settled by binding arbitration under AAA rules. The arbitrator's decision is final.
Class Action Waiver: All disputes will be resolved individually, not as class or representative actions.
EU consumers may bring claims in the courts of their country of residence.
15. Third-Party Services
The App may provide access to external services (system settings, email client, Google Play Store). These are governed by their own terms. We are not responsible for third-party content or availability.
16. Force Majeure
We shall not be liable for failure to perform obligations caused by circumstances beyond our control, including natural disasters, war, pandemics, government actions, internet disruptions, or failures of Android system APIs.
17–21. General Provisions
- Severability: If a provision is held invalid, it shall be modified or severed; the remainder continues in full force
- Entire Agreement: These Terms and our Privacy Policy constitute the complete agreement
- Waiver: Failure to enforce a right does not constitute a waiver
- Assignment: You may not assign these Terms; we may assign without restriction
